I would appreciate if you can post some sample "VC terms sheet".
The number of shares is always a big issue for both the investor and technology holder. My guess is both side have to be flexible, for us, the technology holders, we have to have clear ideas of what we want at the beginning of the negotiation, which means know where the bottom line is. The rest of it is to use the skills to bluff and compromise. In the business negotiation, it all comes down to the greed and threat, just have to balance this two and get the most out of the negotiation. Just my experience and thoughts.
