A rep office is not supposed to have business transactions. You can help to "facilitate business transactions"; but the actual invoicing activities has to take place between your headquarters and the local Chinese company.
By the way, the tax is levied based on your expense, since you are not supposed to do business. All your staffs have to be hired through "Fesco", which charges an unreasonable fees. In some over-rated places like Shanghai, you can only place your office inside certain "government regulated buidings" with outragous offices rent.
A trading company can do business. I believe in Shanghai you can only setup/register the company inside the duty free zone. You need to rent a building or warehouse inside the DFZ. But the common practice is that people set the actual operating office inside the downtown or closer to Pudong.
You can hire people direclty and you are taxed based on your invocice (not expense.)
I am not sure what your busienss is and if you have to setup the office somewhere else. But my input is if you have choice, try to avoid Shanghai. It is overrated, over-priced. Poeple basically don't give you too much attention, unless you can bring 2 billion dollar business investment. I would recommend Shenzhen, or Guangzhou. They are down-to-earth and business savy.
