option 1. The share exchange will give an amount of the acquiring firm's shares, take a look at its price, say yesterday close price, and see the $ amount ("Amount 2"). In all likelihood, Amount 2 > Amount 1.
Now the 2nd $ amount is not realized yet, and by the time of merge happens and you have your new shares in hands, the stock price may be different. The difference Amount 2- Amount 1 should cover the risk premium of selling in the future. How do you know for sure? If the total amount is small, then you can't go too wrong either way. If it is big (> a few big buck) , you should call you bank or brokerage, ask to speak to a private wealth management rep and tell them you have X-amount of XYZ listed shares, if you want to sell fwd how much it'd cost you. If the above diff covers that, then it's worthwhile to hold, otherwise take the cash amount and move on.
I'm not including considerations re. tax, that can be important. You prob can apply 83 b) exemption rule in both cases. And also assume you've vested fully and there is no lock up on the acquiring company's shares that you'd own.
