leave 600K cash flow to his system is not bad at all if 原来老板是甩手老板，基本不做任何事. Cash out 2M is not enough and severe for 加强中餐馆开连锁, unless he really needs this 2M.
1，原来老板是甩手老板，基本不做任何事。（但是有人脉，正在考虑这个影响多大。）3，不得进入同一区域，这个应该可以写入合同中。
check out the effect of his 人脉 on sales. How much of regular customers come because of his 人脉, especially if this is not only a coffee store/shop, but a resturant.
Anyway, the final decision depends on sales check even if you believe or not of his selling reason. Others could be easily checked out.
